Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and Helper Provider ("Helper Provider", "we", "us", or "our") governing your access to and use of the Helper Provider website, applications, and services (collectively, the "Platform").

By creating an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

You must be at least 18 years old and capable of entering into a binding contract to use the Platform.

Helper Provider is a neutral technology platform for discovery and lead generation. We help customers ("Customers") find and connect with independent service providers ("Providers"). We are not a provider of the services listed, an employer, agent, broker, contractor, or partner of any Provider or Customer.

We do not perform, supervise, direct, control, guarantee, insure, or take part in any service, quotation, scheduling, payment, or transaction arranged through or outside the Platform. All such arrangements are made directly and solely between the Customer and the Provider.

Any listings, ratings, badges, quotes, prices, availability, or other information are provided by users or third parties. We do not independently verify, endorse, or guarantee the accuracy, quality, legality, or safety of any listing, Provider, Customer, service, or content, except where expressly stated as a verification we performed.

Verification badges (where shown) reflect limited checks we performed at a point in time and are not a guarantee of a Provider's ongoing identity, qualifications, conduct, licensing, or the quality or safety of any service.

You are solely responsible for your own decisions and for conducting your own due diligence before engaging, hiring, accepting, paying, or providing any service through a connection made on the Platform.

This includes (without limitation) verifying identities, qualifications, licenses, permits, insurance, references, pricing, the scope and quality of work, suitability, and the lawfulness of any engagement, and agreeing on all terms directly with the other party.

You assume all risks arising from your interactions and transactions with other users, whether online or offline. We strongly encourage you to take reasonable safety precautions and to keep important agreements clear and in writing.

Customers are responsible for confirming a Provider is appropriately qualified and, where applicable, licensed for the work. Providers are responsible for performing services lawfully, safely, competently, and as agreed, and for holding all required permits, licenses, registrations, and insurance.

You must provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately of any unauthorized use.

You may not impersonate any person or entity, create accounts by automated means, or maintain more than one account in a manner intended to evade enforcement of these Terms.

We may refuse, suspend, restrict, or terminate any account at our discretion, including for suspected violation of these Terms, fraud, risk to other users, or as required by law.

You agree not to use the Platform to: (a) violate any law, regulation, or third-party right; (b) post false, misleading, fraudulent, defamatory, harassing, hateful, obscene, or infringing content; (c) circumvent fees, verification, safety, or security features; (d) scrape, harvest, or collect data without permission; (e) introduce malware or interfere with the Platform; (f) misrepresent your identity, qualifications, or affiliation; (g) solicit payment outside agreed terms or engage in scams; or (h) harm, endanger, harass, or discriminate against any person.

You are responsible for all content you submit and grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute it on the Platform for operating and promoting the service. You represent that you hold all rights necessary to grant this license.

We may, but are not obligated to, monitor, review, moderate, remove, or restrict any content or account at our discretion and without notice.

Certain Provider features (such as subscriptions, lead credits, featured placements, and advertising) are paid. Fees, inclusions, and limits are described at the point of purchase and may change with notice.

Paid visibility (e.g., "Featured", "Sponsored", or "Boosted" placements) is clearly labeled and is not an endorsement, verification, or guarantee of quality. Except where required by law, payments for digital features are non-refundable once the benefit has been delivered or consumed.

You are responsible for any taxes applicable to your transactions with other users. Helper Provider is not responsible for collecting, remitting, or reporting taxes on services arranged between Customers and Providers.

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that any Provider, Customer, listing, quote, or service will meet your expectations, be safe, lawful, or of satisfactory quality.

We make no warranty regarding the conduct, qualifications, identity, or reliability of any user, or the outcome of any engagement arranged through the Platform.

The Platform may display third-party advertising (including advertising served by Google and its partners). Such advertisements and any third-party websites they link to are not endorsements by Helper Provider, and we are not responsible for the content, products, services, or practices of any third-party advertiser.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELPER PROVIDER AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

WE WILL NOT BE LIABLE FOR ANY ACT, OMISSION, CONDUCT, NEGLIGENCE, INJURY, DEATH, PROPERTY DAMAGE, THEFT, LOSS, DISPUTE, NON-PERFORMANCE, OR MISCONDUCT OF ANY PROVIDER, CUSTOMER, OR THIRD PARTY, OR FOR ANY SERVICE ARRANGED THROUGH THE PLATFORM, WHICH OCCUR DIRECTLY BETWEEN THE CUSTOMER AND THE PROVIDER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO HELPER PROVIDER IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND PESOS (₱1,000).

Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Helper Provider and its owners, directors, officers, employees, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your content; (c) your interactions, transactions, or disputes with any other user; (d) any service you provide or receive; or (e) your violation of these Terms or any law or third-party right.

Any dispute, claim, or disagreement relating to a service, payment, schedule, quality, or conduct is solely between the Customer and the Provider. Helper Provider is not a party to and has no obligation to resolve such disputes, though we may provide tools or guidance as a courtesy.

If another user violates these Terms or our policies — for example through fraud, harassment, unsafe behavior, misrepresentation, or a no-show — you may and are encouraged to report a concern. We review reports and may take action at our discretion, but we do not guarantee any particular outcome.

You release Helper Provider from any claims, demands, and damages arising out of disputes with other users, to the maximum extent permitted by law.

The Platform, including its software, design, trademarks, logos, and content we provide, is owned by Helper Provider or its licensors and is protected by law. You may not copy, modify, distribute, or create derivative works except as expressly permitted.

We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, including for violation of these Terms, risk to users, or as required by law. You may stop using the Platform at any time. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date and, where appropriate, additional notice. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the competent courts of the Philippines for any dispute not otherwise subject to alternative resolution, to the extent permitted by law.
